Bio

Joe Nappi is a Senior Managing Director and Shareholder at Phoenix IB®. He is a seasoned professional in the restructuring industry with over 15 years of experience in special situations transactions. He has led and assisted many middle market companies in a variety of roles including investment banker, turnaround manager, and commercial lender.

Nappi has been involved in numerous transactions involving a wide range of outcomes including complex operational and financial restructurings, capital raising, and buy/sale mandates in North America and Europe. Clients have ranged across several industries and business environments, including public, private, family-owned, start-up, and private equity sponsored companies. Mr. Nappi’s specific expertise includes operational and financial restructuring, refinancing, capital raising, complex balance sheet restructuring, and Mergers & Acquisitions both in and outside the prevue of Chapter 11 proceedings.

During his career, Mr. Nappi worked with a manufacturer of clean-tech for Gas Turbines deleveraging the balance sheet, taking the Company private and successfully selling the Company to a strategic buyer. The team’s efforts were recognized at the M&A Advisor sixth annual awards as “Cross-Border Deal of the Year” and the “Divestiture Deal of the Year”. Mr. Nappi was also instrumental in the financial restructuring of a $100 million Multi-Industry Holding Company. The Company, suffering large pension liabilities, employed several recommended cost saving initiatives to bring an under-performing division back to profitability after years of loss. This allowed the Company to refinance its senior debt and raise additional growth capital. Mr. Nappi also served in an advisory capacity for a $50 million, 17-unit restaurant chain and successfully completed a 363 sale, satisfying the senior debt and providing for an ongoing business post emergence.

Life Before Phoenix

Joe was a portfolio manager at FleetBoston Financial, focusing on middle market companies and managing a loan portfolio in excess of $500 million. He was responsible for several aspects of the underwriting process and monitoring the portfolio’s performance. Prior to joining Fleet, Joe held various portfolio and analytical positions at the Chase Manhattan Bank.

Education & Affiliations

Mr. Nappi graduated cum laude from Babson College with a B.S. in Financial Investments and a minor in Management Information Systems. He further pursued his professional career graduating from the Chase Manhattan Bank’s Global Investment Banking Training Program. Mr. Nappi is a Certified Turnaround Professional (“CTP”) with the Turnaround Management Association and is registered with FINRA and holds his Series 79 license.

Advisor, Circuit Board Manufacturer: Raised $55 million of new loan facilities including a syndicated asset-based revolver, mezzanine debt, and additional subordinated debt.

Financial Advisor, Premier Manufacturer and Supplier of Specialty Chemical Products: Refinanced and recapitalized a $62 million company in the personal care and industrial markets.

Mr. Nappi has managed multiple operations in Assignments for the Benefit of Creditors (“ABC”), including an injection mold manufacturer and biomedical software technology company. Both cases resulted in the constituents receiving a maximum value for the assets during the insolvency sale process.

In addition, Mr. Nappi has led many M&A pre-transaction related due diligence, quality of earnings, and business assessments. These roles have included one of the largest transportation companies in the United States, a $90 million metal tubing company with US and UK operations, and a $90 million automotive welded assembly and prototyping company. He has served in interim management roles, including CRO and CFO in companies ranging from multi-state towing companies to multi-national architectural and engineering firms.
